PLEASE READ THESE TERMS OF USE CAREFULLY. THIS IS A LEGALLY BINDING AGREEMENT. YOU MAY ACCEPT THESE TERMS BY:

CLICKING TO ACCEPT OR AGREE TO THESE TERMS OF USE, WHERE THIS OPTION IS MADE AVAILABLE TO YOU BY CHURCH CONNECTED IN THE USER INTERFACE FOR ANY SERVICE; OR

BY ACTUALLY USING CHURCH CONNECTED'S PRODUCTS, SOFTWARE, SERVICES, OR WEBSITES (COLLECTIVELY, THE “SERVICES”). YOU UNDERSTAND AND AGREE THAT CHURCH CONNECTED WILL TREAT YOUR USE OF THE SERVICES AS ACCEPTANCE OF THESE TERMS OF USE FROM THAT POINT ONWARD.

These terms of use (the “Terms of Use” or “Agreement”) govern your access to and use of the Services offered by Church Connected LLC (referred to as “Church Connected,” “we,” “us,” or “our”) as an end user. These Terms do not alter the terms or conditions of any other agreement you may have with Church Connected, its subsidiaries, or affiliates. If you are using the Services on behalf of any entity, you represent and warrant that you are authorized to accept these Terms of Use on such entity's behalf.

Church Connected reserves the right to change or modify any of the terms and conditions contained in these Terms of Use or any applicable policies or guidelines, at any time and in its sole discretion. Any changes or modifications will be effective immediately upon posting of the revisions on the Church Connected websites or Services. Your continued use of the Services following the posting of changes or modifications will constitute your acceptance of such changes or modifications. Therefore, you should frequently review these Terms of Use and applicable policies to understand the terms and conditions that apply to your use of the Services. If you do not agree to the amended terms, you must stop using the Services.

By using our Services, you confirm that you are at least thirteen (13) years of age or older. If you are below the legal age to form a binding contract within your jurisdiction, you represent that you have obtained permission from your parent or guardian to use our Services.

1. Privacy Policy and Feedback
Please refer to our Privacy Policy for information on how Church Connected collects, uses, and discloses personally identifiable and other information from its users.
Any suggestions, ideas, or feedback (“Feedback”) concerning the Services provided by you to Church Connected shall become the sole property of Church Connected. Church Connected shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and circulation thereof for any purpose, without acknowledgment or compensation to you. You agree that such Feedback is provided on a non-proprietary and non-confidential basis. To the extent that you have any rights in the Feedback, by operation of law or otherwise, you agree to assign to Church Connected all right, title, and interest in and to the Feedback. You agree to perform all acts reasonably requested by Church Connected to perfect and enforce such rights.

2. REGISTRATION FOR THE SERVICE
If you wish to utilize the Services, you will be required to register by providing information about yourself and, if applicable, information about an entity you are representing (such as identification, credit card information, and contact details). You agree that any information you provide during registration or any updates you make later is accurate, complete, and current. Providing false, incomplete, or outdated information constitutes a breach of these Terms of Use and may result in termination of your account and access to the Services.
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. You are also fully responsible for all activities that occur under your account. You agree to:

Ensure the security of your login credentials.

Refrain from sharing your User ID or password with others.

Notify Church Connected immediately of any unauthorized use of your account or suspected security breaches.
You agree not to access or attempt to access the Services using another individual’s identity, credentials, or registration data. Misuse of another’s credentials may result in account termination and legal action.
From time to time, you may be required to confirm your account information via email. Failure to confirm your account may result in deletion of your account. After account deletion, your User Content may be retained by Church Connected at its discretion and may or may not be publicly displayed.

3. USER CONTENT AND ACCEPTABLE USE
The Services may allow you to post, upload, send communications, or stream content (“User Content”). Church Connected reserves the right to refuse, screen, reject, or remove any User Content at its sole discretion if it:

Infringes on intellectual property or other rights of Church Connected or any third party.

Violates these Terms of Use or our other policies.

Is deemed objectionable by Church Connected.
Church Connected also reserves the right to disclose any User Content as necessary to comply with applicable laws, regulations, legal processes, or governmental requests.

Security and Retention of User Content
You are responsible for saving all User Content using alternate storage solutions, as Church Connected does not guarantee the security or reliability of its Services. If you delete your account, some or all of your User Content may be permanently deleted.
Prohibited Activities
Church Connected values integrity, truth, respect for others, freedom of religion, and free speech, and strives to uphold values aligned with traditional Christian scripture. As such, the following are strictly prohibited:

Harassment or stalking of any person.

Sending unsolicited mass mailings or spam.

Posting User Content deemed illegal or likely to violate local, state, or federal laws.
-
Posting harmful, offensive, or abusive language, including hate speech, harassment, or obscenities.

Sharing explicit material, such as nudity, pornography, or other objectionable content.
-
Posting User Content that violates intellectual property laws or infringes on the rights of others.
-
Impersonating others or misrepresenting your identity.
-
Sharing private or confidential information of third parties without consent.
-
Posting User Content containing malicious code or viruses intended to harm systems or data.
-
Posting unauthorized links to third-party sites or services.
-
Using the Services to boost another site’s ranking or circumvent system rules.
Responsibilities and Representations
By posting User Content, you agree to:

Only provide User Content that is accurate and truthful.

Ensure that User Content complies with these Terms of Use and does not cause harm or infringe on rights.

Confirm that you have the consent of any individuals included in the content you post.
Licensing of User Content
By uploading or posting User Content, you grant Church Connected a perpetual, irrevocable, worldwide, royalty-free, freely transferable, and sublicensable (through unlimited levels of sublicense) non-exclusive license to:

Use, reproduce, modify, distribute, and publicly display the User Content.

Create derivative works based on the User Content.
-
Advertise and promote the Services using User Content.
You waive any moral rights in the User Content under applicable laws.
Retention and Use of Data
Church Connected reserves the right to anonymize data you upload to the Services and combine it with anonymized data from others to create aggregated datasets (“Aggregated Data”). Church Connected retains exclusive ownership of Aggregated Data and may use it for any purpose in anonymized form without compensation to you.

4. PAYMENT
If you purchase products or services from or through Church Connected, the following terms apply:

Charges and Payment Terms

All payments are required in advance unless otherwise agreed upon.

No refunds shall be issued unless explicitly authorized at the sole discretion of Church Connected.

All charges and payments must be made in U.S. dollars.
-
If you make payments using a credit card, ACH, or other methods, you authorize Church Connected to debit your account for the authorized amounts.

Tax Obligations
Church Connected reserves the right to collect taxes or assessments from you as required by local, state, provincial, federal, or international laws. If you claim exemption from any taxes, you must provide documentation as required by the taxing authority to support your claim.

Price Adjustments for Paid Services
If you have subscribed to a paid service, Church Connected reserves the right to adjust the pricing with a 30-day notice. You will have the option to terminate the Services before the new pricing becomes effective.

Limitations on Refunds and Disputes

Church Connected does not set or control the prices for products or services offered by other users of the Services.

As between users, all sales are final, and Church Connected is not responsible for managing or facilitating refunds.

If you agree to issue a refund to another user, you are solely responsible and liable for fulfilling that agreement.
These payment terms are binding and govern all transactions made through or with Church Connected.

5. Church Connected Giving
If you register and/or utilize the Church Connected giving functionality (“Church Connected Giving”) provided by Church Connected Wallet, you agree to the following terms and conditions:
a. Agency Appointment
You appoint Church Connected Wallet as your agent to process online donations for the amounts you designate for the specific organization (“Donee”) of your choice. Transaction fees set by Church Connected will be deducted from the online donations at the times agreed upon by Church Connected Wallet and Donees.
b. Authorized Use
Only the authorized credit card or account holder may donate through Church Connected Giving. A third party is prohibited from using the donor's card information or entering donations on behalf of the donor. Such practices may constitute "credit card laundering" and violate credit card usage agreements. Church Connected Wallet reserves the right to report any such abuses to the appropriate authorities. All donations made through Church Connected Wallet are refundable only with the explicit agreement of the Donee, and Donees retain full discretion over the use of donated funds.
c. Compliance with Federal Law
Federal law prohibits charities from promising or providing goods or services (e.g., tickets to events, raffles, or merchandise) in exchange for donations. Church Connected Wallet will only accept pure contributions and does not process transactions that include partial gifts and partial sales.
d. Donor Information
Donor information, including name and contact details, will be shared with the Donee organization to facilitate proper acknowledgment and record-keeping of donations.
e. Text-to-Give Functionality
When you send a text message to Church Connected or Church Connected Wallet to utilize text-to-give services, your cell phone number will be disclosed to Church Connected Wallet. By using this functionality, you consent to receive a hyperlink via text message directing you to the Church Connected Wallet donation portal. To stop receiving text messages, reply with “STOP.” You may receive a confirmation message for your opt-out request. For additional help, reply with “HELP.” Standard messaging and data rates may apply. Church Connected Wallet and your cell carrier are not liable for delayed or undelivered messages.
f. Recurring Payments Authorization
You may elect to use Church Connected Giving for one-time or recurring payments. By opting for recurring payments, you authorize Church Connected Wallet to store your payment details and automatically charge your selected payment method for the agreed amount and frequency. Recurring payments may be referred to as “billing agreements,” “subscriptions,” or “automatic payments.”

Modification or Cancellation of Recurring Payments:
You may modify or cancel recurring payments by accessing your account settings. To cancel recurring payments, you must revoke your authorization at least ten (10) business days before the next scheduled payment date. -
Impact of Payment Method Changes:
If changes are made to a stored payment method or linked account, recurring payments associated with that method may be paused or canceled. It is your responsibility to update payment methods to avoid disruptions. -
Outstanding Obligations:
Cancelling a recurring payment does not absolve you of financial obligations for prior goods, services, or donations that remain unpaid.
g. Finality of Processed Payments
Once a payment is processed, it cannot be canceled or reversed by Church Connected Wallet. We are under no obligation to correct, reverse, or recall processed payments. Refunds, if any, are subject to the Donee’s discretion and agreement.
h. Scheduled Payments
Recurring payments will be billed to the designated payment method specified during the setup process. If you wish to use a different payment method, you must update your account settings. Failure to update your information promptly may delay processing or result in payment failures.
Church Connected Giving reserves the right to amend these terms as needed to comply with legal or operational requirements. Continued use of the Giving platform indicates acceptance of the updated terms.

6. Consent to Receive Emails and Notice; Electronic Signatures
By using the Services, you consent to receive emails from Church Connected, which may include promotional and commercial content, news, and product updates. You may opt out of receiving marketing or promotional emails by following the “unsubscribe” instructions or clicking “unsubscribe” links included in our communications. However, as long as you maintain an account, you may not opt out of receiving account-related emails necessary for the operation of the Services.
Legal Notices:
The parties may give legal notice via email, which shall be considered delivered when sent. Notices to Church Connected must be directed to support@churchconnected.com (or another address as specified by Church Connected). Notices to you shall be sent to the current email address listed in your account profile. It is your responsibility to ensure that your email address is accurate and up-to-date to receive important communications.
Electronic Signatures:
The Services may allow you to execute certain documents, either presented by Church Connected or by other users, through the use of electronic signatures. You hereby consent to the use of electronic signatures and agree that your electronic signature—whether digital or encrypted—shall carry the same legal force and effect as a manual signature. Electronic signatures may be used in compliance with applicable laws and regulations governing electronic transactions.

7. Copyright and Limited License
Unless otherwise indicated, the Services and all content on the Services, including, without limitation, the Church Connected logo, and all designs, text, graphics, pictures, information, data, software, sound files, other files, and the selection and arrangement thereof (collectively, the "Materials") are the property of Church Connected, its licensors, or its customers and are protected by U.S., Canadian, and international copyright laws.
To the extent that Church Connected grants you access, you are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services. This license is subject to these Terms of Use and does not include or authorize:
a. Any resale or commercial (non-personal) use of the Services or the Materials therein.
b. The distribution, public performance, or public display of any Materials.
c. Modifying or otherwise making any derivative uses of the Services or the Materials, or any portion thereof.
d. Use of automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Services.
e. Downloading (other than page caching) of any portion of the Services, the Materials, or any information contained therein, except as expressly permitted.
f. Any attempt to gain unauthorized access to Church Connected's computer systems or engaging in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Services.
g. Collection or harvesting of any personally identifiable information, including, but not limited to, company names, domain names, or account names, from the Services, nor using the communication systems provided by the Services for any commercial solicitation purposes.
h. Use of any portion of the Services as a destination linked from any unsolicited bulk messages or unsolicited commercial messages.
i. Any use of the Services or the Materials other than for their intended purpose.
j. Using the Services to infringe the intellectual property rights of Church Connected or any third party.
k. Copying, modifying, creating a derivative work of, reverse engineering, decompiling, or otherwise attempting to extract the source code of any software or any part thereof, unless expressly permitted or required by law, or unless you have been specifically authorized to do so by Church Connected in writing.
l. Accessing, copying, assessing, disclosing, displaying, or otherwise using the Services for purposes of competitive analysis.
Any use of the Services or the Materials other than as specifically authorized herein, without the prior written permission of Church Connected, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws, including, without limitation, copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Terms of Use shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication, or otherwise. This license is revocable at any time.

8. Repeat Infringer Policy
In accordance with the Digital Millennium Copyright Act (DMCA), the Copyright Act (Canada), and other applicable laws, Church Connected has adopted a policy for terminating access to the Services for users who are deemed to be repeat infringers. This determination will be made at Church Connected’s sole discretion and in appropriate circumstances.
Church Connected may also, at its sole discretion, limit access to the Services or terminate the accounts of any users who infringe upon the intellectual property rights of others, regardless of whether such users are repeat infringers. Actions taken under this policy are intended to ensure compliance with applicable copyright laws and to protect the rights of intellectual property holders.

9. Copyright Policy
Church Connected respects the intellectual property rights of others and expects users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly submitted to us. If you believe that your copyrighted materials have been copied or used in a way that constitutes copyright infringement, please provide the following information:

A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.

Identification of the copyrighted work claimed to have been infringed.
-
Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and information reasonably sufficient to permit us to locate the material.

Your contact information, including your address, telephone number, and email address.

A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
We reserve the right to remove content alleged to be infringing without prior notice and at our sole discretion. Additionally, we may notify the user who posted the content in question and provide them with a copy of the infringement notice. In cases of repeated copyright infringement, we may terminate the user's access to the Services in accordance with our Repeat Infringer Policy.

10. Trademarks
Church Connected® and any other trademarks, service marks, logos, or trade names used or displayed on the Services (collectively, the “Trademarks”) are the property of Church Connected LLC or its licensors. These Trademarks may not be used, copied, imitated, or otherwise exploited, in whole or in part, without the prior written permission of Church Connected or the applicable trademark holder.
You may not use any metatags or any other "hidden text" utilizing Church Connected’s Trademarks, or any other name, product, or service name of Church Connected, without our prior written permission. Additionally, the look and feel of the Services, including all page headers, custom graphics, button icons, and scripts, constitute the service mark, trademark, or trade dress of Church Connected and may not be copied, imitated, or used, in whole or in part, without prior written permission.
All other trademarks, registered trademarks, product names, and logos displayed on the Services are the property of their respective owners. Use of these trademarks or trade names without the owner's permission may constitute infringement of their rights.
11. Hyperlinks
You are granted a limited, non-exclusive, non-transferable right to create a text hyperlink to the Services, provided such link:

Does not portray Church Connected or any of its products and services in a false, misleading, derogatory, or otherwise defamatory manner.

Is not hosted on a site containing any material that is adult, illegal, offensive, harassing, or otherwise objectionable.
This limited right to hyperlink may be revoked by Church Connected at any time at its sole discretion.
You may not use the Church Connected logo or any other proprietary graphic to link to the Services without the express written permission of Church Connected. Additionally, you may not use, frame, or utilize framing techniques to enclose any Church Connected trademark, logo, or other proprietary information—including images, text, page layout, or design—without express written consent.
Except as explicitly permitted above, no rights or licenses are conveyed by implication, estoppel, or otherwise in or under any intellectual property right of Church Connected or any third party. Unauthorized use of hyperlinks or framing techniques in connection with the Services is strictly prohibited.

12. Third-Party Content
Church Connected or its users may provide links to third-party web pages and content as a service for those interested in such links and content. Church Connected may also post third-party content or allow users to post their content on the Services. Church Connected does not monitor or control any third-party content or third-party websites and does not make any representations or warranties regarding their accuracy, completeness, or reliability.
Church Connected does not endorse or adopt any third-party content or third-party websites, nor does it undertake any responsibility to update or review such content. By using the Services, you understand that you may be exposed to content that you may find offensive, indecent, or objectionable. You access links to third-party content and websites entirely at your own risk.
When you leave the Church Connected Services, you should be aware that these Terms of Use, as well as our policies, no longer govern your actions. You are encouraged to review the applicable terms, policies, and privacy practices of any third-party websites or services to which you navigate from the Services.
Church Connected is not the publisher or author of third-party content. It provides a passive platform for the storage and dissemination of ideas and opinions that its users or vendors may choose to post. Church Connected does not screen works prior to posting and does not require prior approval for content submissions. Church Connected’s activities are subject to the protections of Section 230 of the Communications Decency Act and the safe harbor provisions of Section 512 of the Digital Millennium Copyright Act (DMCA).

13. Third-Party Content, Goods, and/or Services
The Services may provide information about or include links to certain applications, goods, and/or services offered by third parties (collectively referred to as “Third-Party Goods and Services”). Church Connected acts solely as an information provider and is not a referral service. Church Connected does not recommend, endorse, monitor, or control any Third-Party Goods and Services.
Church Connected makes no guarantees, representations, or warranties regarding the quality, competency, value, reliability, responsiveness, accuracy, or completeness of any such Third-Party Goods and Services or the results obtained from their use. Church Connected assumes no responsibility or liability for any Third-Party Goods and Services or for the actions or inactions of those providing them. By using such Third-Party Goods and Services, you assume full responsibility for their use, including any risks or potential issues that may arise.
In the event of a dispute between a consumer and a third-party vendor, the parties involved are solely responsible for resolving the matter themselves. Church Connected will not mediate or intervene in such disputes.
The Services may also host or provide access to third-party information, content, and materials (collectively, “Third-Party Content”). Church Connected does not guarantee the quality, accuracy, reliability, availability, or completeness of any Third-Party Content. Church Connected makes no representation or warranty that Third-Party Content is appropriate or legally accessible in all locations. Users are responsible for ensuring compliance with any applicable laws regarding access or use of such content.

14. Advertisements and Promotions; Beta Services
Church Connected may display advertisements and promotions from third parties as part of the Services. Your interactions, business dealings, or correspondence with such advertisers, including participation in promotions and any related terms, conditions, warranties, or representations, are solely between you and the third party. Church Connected is not responsible or liable for any loss or damage resulting from these interactions or from the presence of third-party advertisers on the Services.

Beta Services
From time to time, at its sole discretion, Church Connected may provide access to beta versions of current, upcoming, or in-development Services. Access to beta Services is offered under the following terms:

Church Connected’s Sole Discretion: Church Connected determines:

Whether to offer access to beta Services and may impose conditions before granting access.
-
The duration and scope of the beta testing period.
-
Whether to incorporate features or functionalities tested during the beta period into the final product.

Fees and Refunds: If you are charged fees for beta Services and the beta period is discontinued early, you will receive a pro-rated refund for the unused portion of such Services.

Limitations of Liability:
In addition to the limitations of liability outlined in these Terms:-
Church Connected assumes no responsibility for issues related to beta Services, including but not limited to:

Early discontinuation of beta Services.

Bugs, errors, or malfunctions.

Loss of data uploaded during the beta testing period.

Your participation in beta testing is entirely at your own risk.

By participating in beta testing, you acknowledge and agree to these terms, and you assume any risks associated with the use of beta Services.

15. Warranty Disclaimers
The Materials and Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. Church Connected disclaims all warranties, express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement regarding the information, content, or materials.
Church Connected does not represent or warrant that:

The Materials, including the information available through the Services, are accurate, complete, reliable, current, or error-free.

The Services or its servers are free of viruses, malware, or other harmful components.
Church Connected is not responsible for any errors or omissions in the information or materials accessed through the Services, the website, or any other part of the Services. While Church Connected takes reasonable steps to provide a secure experience, it does not guarantee that the Services or its servers are free of harmful components. Users should employ industry-recognized software to detect and neutralize viruses, spyware, malware, and other harmful or undesirable elements in any downloads or data accessed through the Services.
Church Connected makes no warranties regarding the security or reliability of the Services and assumes no responsibility for interruptions, data loss, or technical errors.
Church Connected reserves the right to modify, change, or delete any and all content or Services at any time without prior notice.

16. Limitation of Liability
In no event shall Church Connected, its corporate affiliates, independent contractors, service providers, consultants, or any of their respective directors, employees, or agents be liable for any special, indirect, consequential, or punitive damages, including, but not limited to:

Loss of use, opportunity, profits, or data.

Damages arising out of or connected with:

Use of the Services, content, or materials contained in or accessed through the Services.

Reliance on information obtained from Church Connected.

Errors, omissions, interruptions, deletion of files or emails, defects, viruses, delays, failures of performance, theft, destruction, or unauthorized access.

This limitation applies whether the action arises in contract, tort (including negligence), strict liability, or any other legal theory, even if Church Connected has been advised of the possibility of such damages. The aggregate liability of Church Connected, arising out of or related to the use of the Services, shall not exceed the amount paid by you, if any, for access to or use of the Services in the 12 months preceding the event giving rise to liability.
Church Connected makes no warranties regarding the security or reliability of the Services.
If you are a California resident, you hereby waive California Civil Code Section 1542, which states:
"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

17. Compliance with Laws
You represent and warrant that your use of the Services will comply with all applicable local, state, provincial, and federal laws, regulations, and ordinances.

18. Indemnification
You agree to indemnify, defend, and hold harmless Church Connected, its subsidiaries, affiliated companies, and their respective shareholders, directors, officers, employees, agents, attorneys, successors, and assigns (the “Indemnified Parties”) from and against any claims, costs, losses, damages, liabilities, expenses, and fees (including reasonable attorneys’ fees) arising out of or related to:

Your use of or inability to use the Services.

Your conduct on the Services.

Your violation of these Terms of Use.

Your violation of the rights of any third party.
-
Your User Content or other materials you post or share through the Services.
Church Connected reserves the right to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense and will reimburse all associated costs, including attorney fees. This indemnity obligation will survive the expiration or termination of this Agreement.
19. Term and Termination
This Agreement will continue in effect until terminated by either party.

Your Termination: You may terminate this Agreement without cause by deactivating your account through your account settings.

Termination by Church Connected: Church Connected may terminate the Services without cause by providing thirty (30) days’ written notice to the email address associated with your account.
Upon termination, Church Connected will make available, upon request, a file of your User Content for download within 30 days of termination. After this period, all User Content may be deleted, and Church Connected is under no obligation to retain such data.

20. Termination for Cause
Church Connected may immediately terminate this Agreement without prior notice if you materially breach these Terms of Use. Examples of material breaches include, but are not limited to:

Failure to meet payment obligations.

Unauthorized use of the Services.

21. Arbitration
In the event of any controversy or dispute between the parties, the parties shall first consult and attempt to reach a mutually satisfactory resolution. If a resolution is not reached within thirty (30) days, either party may demand mediation under the rules of the American Arbitration Association (AAA) by providing written notice to the other party. If mediation does not resolve the dispute within sixty (60) days after the written demand, the matter shall proceed to binding arbitration in accordance with the AAA's rules.

Arbitration Process:

Location and Arbitrator: The arbitration shall be conducted before a single arbitrator in Kootenai County, Idaho. The arbitrator will render a written decision, including findings of fact and conclusions of law. The arbitrator's decision shall be final and binding on all parties and not subject to appeal.

Costs and Fees: The parties will share arbitration expenses equally unless the arbitrator determines otherwise. The prevailing party may be awarded reasonable attorneys' fees and expenses.

Timeframe: Arbitration proceedings are intended to be concluded within ninety (90) days from the appointment of the arbitrator. Extensions are permitted only to avoid undue prejudice.

Document Exchange: Pre-hearing exchanges of information shall be limited to the production of relevant, non-privileged documents.

Exceptions: This section does not apply to claims involving the ownership, validity, infringement, or misuse of confidential information, patents, copyrights, trademarks, or other intellectual property rights.

Class Arbitration Prohibited: No claims or disputes shall be joined with those of other individuals, and class arbitration is not permitted.

Statute of Limitations: Any claim related to the Services must be filed within two (2) years of the cause of action arising.
If any provision of this section is found to conflict with mandatory legal requirements, the conflicting term shall be adjusted to comply with the law without affecting the remaining provisions.

22. Applicable Law and Venue
These Terms of Use and your use of the Services shall be governed by and construed in accordance with the laws of the United States and the State of Idaho. This applies to agreements made and performed entirely within Idaho regardless of your physical location.
For disputes or claims not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Kootenai County, Idaho. You waive any objection to the venue being inconvenient or not appropriate and consent to the jurisdiction of these courts for the resolution of disputes.

23. Assignment; Change in Control
This Agreement may not be assigned by you without the prior written consent of Church Connected. However, Church Connected may assign this Agreement without your consent to:

A parent or subsidiary,

An acquirer of assets, or
-
A successor entity by merger.
Any assignment or transfer in violation of this section shall be deemed null and void.

24. Severability
If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible under the law. The invalid or unenforceable portion will be severed from these Terms, and the remaining provisions will continue in full force and effect.

25. Relationship
Nothing in this Agreement shall create or be construed as creating a joint venture, partnership, employment, or agency relationship between you and Church Connected. Both parties acknowledge that they are acting independently and not as an agent of the other.

26. Waiver
No waiver of any term, provision, or condition of this Agreement, whether by conduct or otherwise, in any one or more instances, shall:

Be deemed to be a waiver of any other term, provision, or condition, whether similar or not.

Constitute a continuing waiver of any such term, provision, or condition.
All waivers must be executed in writing and signed by the party granting the waiver.

27. Force Majeure
If either party’s performance of this Agreement is prevented, hindered, delayed, or rendered impracticable due to unforeseen events beyond the reasonable control of the affected party—including, but not limited to, natural disasters, acts of God, riots, fires, governmental actions, labor disputes, or other emergencies—that party shall be excused from such performance for the duration of the event. The affected party shall use reasonable efforts to mitigate the effects of such circumstances.

28. Entire Agreement
This Agreement constitutes the complete and exclusive agreement between you and Church Connected concerning your use of the Services. It supersedes and replaces any prior or contemporaneous communications, representations, statements, or agreements, whether oral or written, between the parties regarding the subject matter of these Terms.
